(1) If a person who has made a contract as an agent of the other party can neither prove his or her authority nor get the principal to ratify the contract, he or she shall be liable to the other party, at the latter's option, either for the performance of the contract or for the compensation for damage or losses.
(2) Paragraph (1) shall not apply if the other party was aware, or should have been aware, that the person who has made a contract as an agent had no power of representation, or if the person who has made the contract as an agent was a person with limited capacity.[This Article Wholly Amended on Mar. 7, 2011]
