Enforcement Decree of the Commercial Act — Article 31 (Public announcement of convocation of general meetings of shareholders)

(1) "Stocks, the number of which does not exceed the number prescribed by Presidential Decree" in Article 542-4(1) of the Act means stocks not exceeding 1/100 of the total number of voting stocks issued and outstanding.

(2) A listed company may give public announcement under Article 542-4(1) through the electronic public disclosure system operated by the Financial Supervisory Service established under Article 24 of the Act on the Establishment of Financial Services Commission, or by an exchange that has obtained permission under Article 373-2 of the Financial Investment Services and Capital Markets Act (hereinafter referred to as "exchange"). <Amended on Aug. 27, 2013>

(3) "Matters prescribed by Presidential Decree" in Article 542-4(2) of the Act means the following matters: <Amended on Jan. 29, 2020>

1. Relationship between the candidates and the largest shareholder;

2. Details of transactions between the candidates and the company during the latest three years;

3. Whether the candidates have been subject to the disposition on delinquency under the National Tax Collection Act or the Local Tax Collection Act during the latest five years as of the date of holding a general meeting of shareholders;

4. Whether the businesses for which the candidates have worked as an executive officer have been subject to rehabilitation procedures or bankruptcy procedures under the Debtor Rehabilitation and Bankruptcy Act as of the date of holding a general meeting of shareholders;

5. Whether the candidates have any ground for disqualification as an outside director or auditor, such as grounds for restricting employment as prescribed by statutes or regulations.

(4) "Matters prescribed by Presidential Decree, including activities and salaries of outside directors, and outlines of business" in the main sentence of Article 542-4(3) of the Act means the following matters: <Amended on Jan. 29, 2020>

1. Activities of outside directors and other directors who do not engage in the regular business of the company, including records of attendance at directors' meetings and opinions expressed by votes on resolutions in the directors' meetings, and remunerations for them;

2. Details of transactions under the subparagraphs of Article 542-9(3) of the Act;

3. An overview of business, including the current status of business, and documents prepared for reference in the manner prescribed by the Financial Services Commission for each item of the agenda brought before a general meeting of shareholders;

4. A business report under Article 159 of the Financial Investment Services and Capital Markets Act and an audit report under the main sentence of Article 23(1) of the Act on External Audit of Stock Companies. In such cases, the relevant report may be replaced by sending the report in the form of electronic document or publishing it on the website of the relevant company, one week before a general meeting of shareholders is held.

(5) "Methods prescribed by Presidential Decree" in the proviso to Article 542-4(3) of the Act means the methods by which a listed company publishes the documents specified in paragraph (4) on its website and keeps such documents at the following places to make them available to the general public for inspection: <Amended on Aug. 27, 2013>

1. The main office and branch offices of the listed company;

2. Transfer agents;

3. The Financial Services Commission;

4. The exchange.
